About the role:

The HR M&A Consultant will partner with Corporate Development to evaluate merger, acquisition, divestiture, and joint venture arrangements. In partnership with the HR M&A Deal Lead, business unit HR partners, and workstream SMEs, the HR M&A Consultant will support the HR function across all aspects of the people strategy for transactions from pre-Letter of Intent, due diligence, planning and execution.

Responsibilities
 

  • Acting as subject matter expert to support the people strategy for transactions, including supporting Pre-LOI risk assessment, detailed HR due diligence, HR employment terms negotiation, and integration/separation, participation in client/buyer/seller diligence meetings, planning and execution.
  • Working in a global team environment as a key member of a broader cross-functional deal team, to include HR, business units, corporate development, finance, accounting, legal, risk management, compliance, and IT teams, as well as with external partners.
  • Managing large amounts of data in excel and preparing data views, reporting, and presentations as needed.
  • Conducting preliminary side-by-side Total Rewards and HR Policy analysis to identify potential risks and advise on mitigation approach during early stages of the transaction.
  • Conducting detailed evaluation of compensation, health and welfare programs, retirement programs and HR policies (e.g., paid time off, vacation), etc., to assess potential risks and liabilities.
  • Quantify areas of HR risks and opportunities – e.g., labor expenses, severance, benefits, employee relations and culture.
     

Requirements :
 

  • 5+ years of experience working on M&A transactions end-to-end, preferably with an HR focus, with ability to build strong cross-functional partnerships and foster trust at all levels of the organization.
  • Experience leading multiple global integrations/divestitures, especially in large, complex, matrixed organizations.
  • Strong organizational skills and project management experience with ability to work independently and navigate in an unstructured environment and manage several time-sensitive projects at once with minimal direction.
  • Familiarity with HR employment terms related to M&A legal documents (e.g., purchase agreements, disclosure schedules, transition service agreements/service delivery agreements, employment/retention agreements).
  • High proficiency in Microsoft Office suite (Excel, PowerPoint, Word, etc.), with ability to prepare and manage roster data, create data views and presentations as needed.
  • Demonstrated analytical and problem-solving ability, willingness to probe into various business scenarios, and recommend solutions based on best practices.

For this position, actual salaries will vary and may be above or below the range based on various factors including but not limited to location, experience, and performance. In addition to base pay, this position, based on business need, may be eligible for a bonus or incentive. The estimated salary range for this role is estimated salary range is $92,400 - $120,000.
