Role Summary:

Responsible for oversight and direction of cross-departmental compliance related activities to meet legislated and regulatory obligations in all departments. This includes the oversight and authority to supervise preparation and filing of documents necessary to comply with federal, state, provincial and local regulations applicable to the Company and its business, Company code of conduct and policy implementation, and ongoing follow up and training of the Board and employee base in matters of ethics and compliance.

Duties and Responsibilities:

  • Provide leadership in the development, deployment, and continuous improvement of a dynamic year over year compliance program that includes all major departmental compliance requirements
  • Oversee management of all corporate Company records including corporate registrations, minutes, unit holdings and corporate organizational structure charts
  • Maintain equity holder ledgers, prepare equity transfer agreements, maintain Intralinks (or similar) relationship and liaise with them on members’ unit transfers
  • Assist Finance on all debt/lien compliance matters and support Finance and Tax teams to ensure that any required corporate filings, audit responses, letters and tax forms for members accurately reflect our equity holdings and compliance requirements
  • Ensure the Public Policy team are compliant with filing obligations regarding any PAC or lobbyist activities, accounting and filings
  • Collaborate with the Legal, HR, Finance, IT and Regulatory corporate functions in the design and implementation of existing and new policies, compliance controls, training, monitoring and due diligence and oversee or confirm the filing of all documents required to comply with federal, provincial, state, and local regulations as necessary for Company compliance
  • Promote a strong ethics and compliance culture and play an integral role in the organization, design and implementation of an effective compliance communication strategy
  • Participate in onboarding of all new employees and conduct or oversee appropriate Code of Conduct and Corporate Policy training and information sessions; work with third parties as needed to assist in training and promoting adoption of, and adherence to the Company compliance program
  • Oversee management of government agency compliance requirements (i.e., FCC, FEC, House of Representatives and Senate, ISED and CRTC) to ensure responsible departments are compliant with any required reports or filings
  • Oversee the documentation systems and processes needed to track and manage policies and procedures, compliance notifications, compliance issues and non-conformities
  • Identify and assess existing and emerging business practices for potential areas of compliance vulnerability and risks
  • Audit departmental policies and procedures and work with relevant stakeholders to mitigate identified risk and to meet government, industry, and Company compliance requirements; identify overlapping responsibilities and develop tailored integrated plans for assigning ownership and monitoring of risk mitigation activities (ie. using tools such as the ContractWorks reminder system)
  • Responsible for maintaining data for training, breach and investigation, due diligence files and Board records in an organized and secure location
  • Serve as Company policy and compliance advisor to the business, technology, and support functions within the Company
  • Responsible for coordinating all required staff and resources to maintain compliance requirements, including directing support personnel in contracts reminder, filing and payment reminders and board matters
  • Proactively make recommendations on the development and assessment of corporate compliance programs, training, adherence and effectiveness of Company policies and training
  • Provide support during regulatory inspections and assistance in investigations
  • Institute and maintain an effective compliance communication program for the organization which may include researching, understanding, and communicating new and existing compliance issues and related policies and procedures through an employee newsletter or posting on a Company intranet site.

Required Experience/Qualifications:

  • Four-year college degree and at least 5 years’ experience in the management of a corporate ethics and compliance program
  • Ability to work collaboratively across departments and effectively with members at all levels of management
  • Ability to work independently with minimal supervision and simultaneously manage/coordinate multiple projects
  • Must have excellent verbal and written communications skills, including the ability to develop training using plain and simple language to communicate compliance objectives
  • Demonstrate leadership skills, a detail-oriented mindset and exhibit emotional intelligence and good judgment
  • Knowledge of company policies, general regulations relating to the Company and its business, the ITAR, EAR and Commerce control requirements, data retention and privacy issues, standard record management processes and requirements, and other areas related to the company’s activities
  • Experience working in parallel with teams responsible for executive level meetings in the management, finance, human resources, regulatory and IT resource areas
